KloudXperts Terms and Conditions

1. Introduction

The Terms and Conditions govern the use of our services and products, including but not limited to our public, private, colocation and storage cloud solutions. By engaging our services, you agree to comply with these terms in full. If you do not agree with any of them, we ask that you do not use our services.

 

2. Services Provided

KloudXperts offers cloud infrastructure, storage, data protection and colocation services. The specific details of each contracted service will be defined in the individual agreement with the client (the “Contract”).

 

3. Access and Use of Services

Permitted Use: The client agrees to use the services only for legal purposes and within the scope established in the Contract.

Use Restrictions: It is prohibited to use the services for illegal activities, sending unwanted emails (spam), network attacks or violating third party rights.

Customer Responsibility: The customer is responsible for ensuring the security of their access credentials and all activities carried out under their account.

 

4. Billing and Payments

Charges: Charges for services will be determined in the Contract. KloudXperts may offer pricing models based on subscription, consumption or other terms.

Late Payments: In case of late payments, KloudXperts reserves the right to temporarily suspend services until payments are regularized.

Taxes: All prices listed include taxes, which will be charged in accordance with the applicable jurisdiction.

 

5. Service Levels and Guarantees

Availability: KloudXperts guarantees a level of availability of services defined in our Service Level Agreement (SLA).

Exclusions: Outages caused by scheduled maintenance, customer configurations, or force majeure events are excluded from SLA guarantees.

Remedies: In case of non-compliance with the SLA, the customer may receive service credits as sole compensation.

6. Data Protection

KloudXperts is committed to complying with applicable data protection and privacy laws, including GDPR and LFPDPPP.

The customer is responsible for ensuring that any data processed on our services complies with the regulations applicable to their jurisdiction.

 

7. Intellectual Property

KloudXperts Rights: All right, title and interest in and to our services, including software, hardware and content, are the exclusive property of KloudXperts or its licensors.

Client Rights: The data and content provided by the client remain under their exclusive property. KloudXperts does not claim any rights over them.

 

8. Limitation of Liability

KloudXperts will not be liable for any indirect, incidental or consequential damages, including loss of revenue, data or business interruption.

KloudXperts' total liability for any claim relating to the Contract will not exceed the amount paid by the customer during the 12 months prior to the claim.

 

9. Dispute Resolution

Any dispute related to these Terms and Conditions will be resolved by arbitration in the jurisdiction agreed in the Contract or, failing that, in Guadalajara, Jalisco, Mexico.

 

10. Termination of the Contract

By the Client: The client may terminate the Contract by giving at least 30 days' written notice.

By KloudXperts: We reserve the right to suspend or terminate the Contract in the event of a material breach of the terms by the client.

Effects of Termination: All outstanding payments must be settled prior to termination of service.

 

11. Changes to the Terms and Conditions

KloudXperts reserves the right to update these Terms and Conditions. We will notify you of any material changes through our usual communication channels.
